You agree to indemnify, defend, and hold harmless AdQuantiv and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the Service will cease immediately, and we may delete your account and data in accordance with our data retention policies.
Any disputes arising from these Terms shall be resolved through binding arbitration in Singapore, conducted in English, in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC).
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
